General Terms and Conditions for Buyers and Vendors (BnV)

1. Introduction

1.1. Welcome to the Buyers and Vendors (BnV) marketplace. These general terms and conditions govern your use of our marketplace and form a legally binding agreement between you, as a user, and us.

1.2. By accessing or using our marketplace, you agree to these terms and conditions. If you do not agree, you must not use our marketplace.

2. Definitions

2.1. “BnV” refers to Buyers and Vendors, the owner and operator of the marketplace.

2.2. “User” refers to any individual or entity accessing or using the marketplace, including both Buyers and Vendors.

2.3. “Buyer” means a user who purchases goods or services through the marketplace.

2.4. “Vendor” means a user who offers goods or services for sale through the marketplace.

3. Eligibility

3.1. You must be at least 18 years old to use our marketplace. By using our marketplace, you confirm that you meet this age requirement.

3.2. Users under the age of 18 must have parental or guardian consent to use the marketplace.

4. User Accounts

4.1. To use certain features of the marketplace, you must create an account. You agree to provide accurate and complete information during the registration process.

4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Use of the Marketplace

5.2. You must not use the marketplace to engage in any conduct that is fraudulent, harmful, or otherwise objectionable.

5.3. We reserve the right to suspend or terminate your access to the marketplace if you violate these terms and conditions.

6. Listing of Goods and Services

6.1. Vendors must provide accurate and complete information about the goods or services they offer.

6.2. Vendors are responsible for ensuring that their listings comply with all applicable laws and regulations.

6.3. We reserve the right to remove any listings that violate these terms and conditions or that we deem inappropriate.

7. Orders and Payment

7.1. Buyers may place orders for goods or services through the marketplace. All orders are subject to acceptance by the Vendor.

7.2. Payment for orders must be made through the payment methods specified on the marketplace.

7.3. We are not responsible for any issues arising from transactions between Buyers and Vendors.

8. Shipping and Delivery

8.0. Shipping is largely free on BnV, as shipping cost is calculated into the price of the product. However there are little exceptions as described in 8.1 below. Find out more about shipping policy.

8.1. For products sold by independent vendors, vendors are responsible for shipping goods to buyers in a timely and secure manner. Shipping terms should be clearly communicated and agreed upon with the buyer.

8.2. Buyers should provide accurate delivery information and be available to receive shipments as agreed upon with the vendor.

8.3. Delivery times are estimates and may vary. We are not responsible for any delays in delivery, but every buyer will surely get their products before vendor is credited. You can check out our delivery timeline

9. Returns and Refunds

9.1. Vendors should have clear refund and return policies in place. Buyers should be aware of these policies before making a purchase.

9.2. Any disputes regarding refunds or returns should be addressed directly between the buyer and the vendor. If necessary, the dispute resolution process outlined in returns and refund policy is utilized.

10. Dispute Resolution

10.1. In the event of a dispute between a buyer and a vendor, we encourage both parties to resolve the issue amicably through direct communication.

10.2. If the parties cannot reach a resolution, they may escalate the dispute through our designated resolution process.

11. Intellectual Property

11.1. All intellectual property rights in the marketplace and its content are owned by or licensed to BnV.

11.2. You may use the content of the marketplace only for personal, non-commercial purposes.

11.3. You must not use any content from the marketplace for commercial purposes without our express permission.

12. Limitation of Liability

12.1. To the fullest extent permitted by law, BnV shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the marketplace.

12.2. Our total liability to you for any claims arising out of or in connection with your use of the marketplace shall not exceed the amount you paid us, if any, for accessing the marketplace.

13. Indemnification

13.1. You agree to indemnify and hold BnV harmless from any claims, losses, damages, liabilities, and expenses arising from your use of the marketplace or your violation of these terms and conditions.

14. Termination

14.1. We reserve the right to terminate or suspend your access to the marketplace at our discretion, without notice, for conduct that we believe violates these terms and conditions or is harmful to other users of the marketplace, us, or third parties, or for any other reason.

15. Governing Law

15.1. These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which BnV is located (Nigeria).

15.2. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts located in Nigeria

16. Entire Agreement

16.1. These terms and conditions constitute the entire agreement between you and BnV regarding your use of the marketplace.

17. Severability

17.1. If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will remain in effect.

18. Changes to Terms and Conditions

18.1. We may update these terms and conditions from time to time. The updated terms will be posted on the marketplace and will take effect immediately.

18.2. Your continued use of the marketplace after the posting of updated terms constitutes your acceptance of the changes.

19.2. Notices will be deemed received immediately if sent by email or posted on the marketplace, or five days after being mailed.

29.1. All provisions of these terms and conditions which by their nature should survive termination shall survive termination, including but not limited to intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.
